In addition, the company Hornonitrianske bane zamestnanecká, a. s., Banská mechanizácia a elektrifikácia, o. z. acts in such a way as to ensure that there are no cases of illegal pressure, bullying or persecution at the workplace. The requests or threats that lead individuals to commit actions that are contrary to the law or the Code of Ethics, or to act in a manner that violates the moral or personal convictions or the priorities of any other person, are prohibited.

11. ACCURACY IN THE EXECUTION OF CONTRACTS
The execution of the contracts and the resulting tasks must be carried out in accordance with the conditions which have been agreed with sufficient information by the contractual parties. The company Hornonitrianske bane zamestnanecká, a. s., Banská mechanizácia a elektrifikácia, o. z. undertakes not to discriminate against its customers.

2. CONTRACTS AND NOTICE TO CUSTOMERS
The contracts and notices addressed to the customers o the company Hornonitrianske bane zamestnanecká, a. s., Banská mechanizácia a elektrifikácia, o. z., including the advertisements, must be:

  • clear and simple, formulated in a language that is similar to the language customarily used in that community as much as possible,
  • prepared in accordance with the generally binding regulations of the Slovak Republic and the company’s internal regulations, without resorting to misleading or inappropriate practices and
  • complete, so as not to omit any issues that are important to the customer´s decision-making.

3. BEHAVIOUR OF THE EMPLOYEES

1. SELECTION OF THE SUPPLIER

These procedures are based on the pre-contractual and contractual behaviour characterized by the fundamental and reciprocal elements of good faith, transparency and cooperation. The company undertakes not to discriminate persons like suppliers or potential suppliers.

2. INTEGRITY AND INDEPENDENCE IN THE RELATIONSHIPS WITH SUPPLIERS
The relationships of the company Hornonitrianske bane zamestnanecká, a. s., Banská mechanizácia a elektrifikácia, o. z. with its suppliers are governed by the rules set forth in this Code of Ethics and are permanently monitored by the company. These relationships also include the financial and consulting contracts. The signing of the contract with a supplier must always be based on a completely clear relationship and, if possible, any form of dependence must be avoided, such as:

  • it is impermissible to persuade the supplier to conclude a disadvantageous contract with the possibility of obtaining a more advantageous contract in the future,
  • it is impermissible for long-term projects to be implemented on the basis of short-term contracts which would have to be constantly renewed, including price adjustments, as well as the conclusion of consultancy contracts which do not involve the acquisition of adequate know-how, etc.,
  • particular attention should be paid to the development and implementation of contracts whose presumed value is particularly important in terms of the supplier's business volume.

3. ETHICAL BEHAVIOUR IN THE PROCUREMENT PROCESS
In order to ensure consistency of procurement-related activities with accepted ethical principles, the company Hornonitrianske bane zamestnanecká, a. s., Banská mechanizácia a elektrifikácia, o. z. undertakes to introduce specific requirements for certain deliveries (e.g. the existence of an environmental management system) as well as the compliance with the laws and other generally binding regulations of the Slovak Republic. The violation of the general rules of the Code of Ethics means the activation of disciplinary mechanisms to prevent the commission of a criminal offence attributable to the activities of the company. For this reason, the individual contracts must contain specific requirements. The contracts with persons from countries classified by renowned organizations as “risky” include provisions that require the following:

  • recognition of specific social obligations on the part of the supplier (e.g. measures guaranteeing respect of fundamental rights of its employees, principles of equality, non-discriminatory treatment and measures to prevent child labour);
  • the possibility of carrying out inspections at the manufacturing plants or at the suppliers' offices to verify that these requirements are met.

 

 

RULES OF CONDUCT IN RELATION TO THE COMPANY

1. ENVIRONMENTAL POLICY
The company Hornonitrianske bane zamestnanecká, a. s., Banská mechanizácia a elektrifikácia, o. z. guarantees that it will promote the environmental objectives in accordance with its strategic objectives. In order to take every opportunity to achieve a synergistic effect, the environmental policy is defined and implemented in a unified and consistent manner. These activities include the following:

  • the definition of policies for the environment and sustainable industrial development,
  • the development of internal regulations of the company Hornonitrianske bane zamestnanecká, a. s., Banská mechanizácia a elektrifikácia, o. z. to implement the environmental policy,
  • the identification of indicators and the provision of the monitoring and control of the results of company’s measures related to the impact on the environment,
  • the monitoring of changes in the environmental legislation in the Slovak Republic and the European Union,
  • the relationships with environmental organizations, institutions and agencies and the promotion, implementation and coordination of memoranda of understanding and program agreements with similar institutions as well as state institutions.

  • customer-oriented programs to promote the rational use of energy.

3. ENVIRONMENTAL NOTICES
The company Hornonitrianske bane zamestnanecká, a. s., Banská mechanizácia a elektrifikácia, o. z. provides information on the implementation of its environmental policy and the consistency of the results achieved with regard to the stated objectives, in particular:

  • the most important environmental events (e.g. certification of environmental management systems, plant and equipment modernization, agreements and various initiatives for the protection of the environmental and local areas and communities);
  • the main environmental outcomes (energy efficiency, development of renewable energy resources, water management, emission reduction, waste management development, etc.).

In order to guarantee a maximum level of transparency, the company undertakes not to allow a situation which is a conflict of interest involving the employees of any regulatory authority or their family members.
